Customer Portal Terms of Service

Last updated October 23, 2026

1. Acceptance of Terms

By registering for, requesting access to, or using the Landi Industries Customer Portal (the “Portal”) at www.landiindustries.com/portal, you (“you,” “User,” or, where you act for a company, “Organization”) agree to these Terms of Service (“Terms”) and to our Privacy Policy. Landi Industries (“Landi Industries,” “we,” “us,” or “our”) is a Delaware corporation with offices in Highland Heights, Ohio. If you do not agree to these Terms, do not register for or use the Portal. Express acceptance of these Terms and the Privacy Policy is required at registration.

2. Registration, Approval and Organization Access

  • Approval required. Creating an account does not grant access to the Portal. Every registration is reviewed and approved manually by Landi Industries. Until approval, you will see an “account under review” screen only.
  • Organizations. When the first User from a client is approved, Landi Industries may create an Organization for that client. Additional Users with a matching corporate email domain, or who are invited by Landi Industries, may request to join that Organization and share its project space. Membership and roles are managed by Landi Industries.
  • Unapproved registrations. Registrations that are not approved may be removed after 30 days.
  • Account security. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us at legal@landiindustries.com immediately of any unauthorized use.
  • Sign-in methods. Sign-in may be offered by email, password, one-time code, passkey, or a third-party identity provider (for example Google or Microsoft). Use of a third-party provider is subject to that provider’s terms.

3. Eligibility and Authorized Use

  • Clients only. The Portal is for current clients of Landi Industries and their authorized representatives who are engaged in an active project or proposal with us. You must be at least 18 years old and authorized to act for your Organization.
  • Discretionary access and duration. Access is granted at Landi Industries’ sole discretion. Access to project materials normally lasts for the duration of the engagement and up to 30 days after project completion, unless extended in writing.
  • Suspension and closure. We may suspend, restrict, close, or remove any account, Organization, or content at any time, with or without cause or notice. Keep your own copies of anything you need; after closure, files may be archived or deleted in line with our Privacy Policy.
  • Acceptable use. You will not share credentials, attempt to access another Organization’s data, upload malicious code, probe or disrupt the service, or use the Portal for anything other than your engagement with Landi Industries.

4. What the Portal Provides

  • Standard agreements. Reference copies of Landi Industries’ standard agreements (for example the Mutual NDA and Master Services Agreement) for download.
  • Project files. Upload of CAD models, specifications, schematics, bills of materials, and related documents to a space shared with Landi Industries and your Organization, with a history of what was uploaded and when.
  • Meetings. A view of scheduled reviews, show-and-tells, and discovery calls with calendar and rescheduling links.
  • Engineering tools. Self-service tools such as the STEP to STL Converter run entirely in your browser; files you use with them are not uploaded to or stored by Landi Industries.
  • Information only. The Portal is provided “as is” for information and administration. Your contract, specifications, deliverables, and payment terms remain governed by the signed Master Services Agreement, statement of work, or other written agreement, which controls if it conflicts with these Terms.

5. Your Content

You retain ownership of files and information you upload. You grant Landi Industries a non-exclusive, worldwide, royalty-free license to store, process, reproduce, and use that content solely to perform the contracted engineering services, to operate the Portal, and as otherwise permitted by your written agreement with us. You represent that you have the rights needed to upload the content and that it does not infringe third-party rights. Content you upload is treated as confidential under the Mutual NDA or Master Services Agreement in force between us.

6. Intellectual Property

The Portal, including its design, code, text, graphics, trademarks, and interfaces, is the property of Landi Industries and its licensors and is protected by intellectual property law. These Terms grant no rights in the Portal except the limited right to use it as described. Open-source components used by the Portal remain subject to their own licenses.

7. Third-Party Services

The Portal relies on third-party providers, including an authentication provider (Clerk), hosting (Vercel), and analytics (see the Privacy Policy). Those services may be unavailable from time to time, and Landi Industries is not responsible for them.

8. Disclaimer of Warranties and Limitation of Liability

  • The Portal is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Landi Industries disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, availability, and error-free operation.
  • To the fullest extent permitted by law, Landi Industries will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business, arising from or related to the Portal, even if advised of the possibility. Our total liability relating to the Portal will not exceed the amounts you have paid us under the written agreement to which the claim relates.
  • Nothing in this section limits liability that cannot be limited by law or any obligation under a signed agreement between us.

9. Changes to the Portal and these Terms

We may change or discontinue the Portal, in whole or in part, at any time. We may revise these Terms by posting an updated version with a new “Last updated” date and, for material changes, by asking you to accept them again at your next sign-in. Continued use after the effective date means you accept the revised Terms.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where your signed agreement with us provides otherwise.
